Boutique Terms

Marketplace

Version 1.0 · June 2026

GOCOSHOP is currently operating in a pilot phase. Access to certain boutique features, including digitised listings and tokens, may be activated in stages during the pilot. Where a feature is not yet available to you, the related terms apply from the date that feature becomes available to you.

1. Overview

These Boutique Terms govern your participation in GOCOSHOP as a boutique operator across two layers:

  • Part A — SaaS membership: access to platform software, GOCO AI, analytics, and token system.
  • Part B — Agency: GOCO's role as your limited payment collection agent for marketplace transactions.

2. Membership

Membership is charged monthly in advance at the applicable rate set out in the GOCOSHOP Fee Schedule (Fees & Charges), provided at onboarding and available on gocoshop.com.au, billed via our third-party payment processor. It is payable regardless of transaction volume. The GST component is claimable as an input tax credit if you are GST-registered. GOCO issues valid tax invoices for all charges.

3. Token system

Digitising a new Item consumes one token. Responding to an Edit brief with an already-digitised Item consumes no token. Purchased tokens expire 12 months from purchase. Signup grant tokens expire 90 days from activation. Tokens have no monetary value and are non-refundable once used. See Fees and Charges for current pack prices.

4. Agency appointment

You appoint GOCO as your non-exclusive limited agent solely for the purpose of collecting payment from Buyers and remitting the Item Price to your connected payout account held with our payment processor. GOCO does not acquire title to, and is not the vendor of record for, any Item at any time. The contract of sale is between you and the Buyer.

5. Item Price protection

GOCO uses destination charges through our payment processor. The full Item Price transfers to your connected account. The Item Price is never reduced by processing fees, payout fees, or active account fees — all such payment processing fees are borne by GOCO.

6. Weekly payouts

Your connected payout account is configured for weekly payouts to your nominated bank account every Monday, covering all cleared transactions from the prior week.

7. GST

GOCO Fees (the buyer-paid GOCO Online Access Fee and shipping) and Membership are taxable supplies of GOCO. The Item Price is your revenue — its GST treatment is your responsibility as seller. Seek independent tax advice regarding the second-hand goods margin scheme (Division 75, GST Act).

8. Your obligations

You must: grade all Items accurately using the GOCO condition scale; confirm or decline orders within 60 minutes; dispatch within 24 hours of confirmation; maintain accurate listing content; comply with Marketplace Rules; and maintain storefront terms and conditions.

9. Vendor relationships

Your relationships with Vendors are solely between you and your Vendors. GOCO will not contact your Vendors directly. Vendors remain your customers at all times.

Marketplace Rules

1. Purpose

GOCOSHOP is a curated circular fashion marketplace. These rules maintain the quality and trust that boutiques and shoppers expect. All boutique operators must comply as a condition of membership. Rules may be updated on 30 days notice without requiring re-execution of Boutique Terms.

2. Boutique eligibility

GOCOSHOP is for verified Australian rent-a-rack and consignment boutiques only. You must: operate a physical boutique in Australia; have a rent-a-rack or consignment business model; hold a valid ABN; and be verified by GOCO before listings go live.

3. Condition grading

All Items must be graded using the GOCO condition scale:

  • NWT — New with tags. No signs of use.
  • EXC — Excellent. Worn once or twice, no visible flaws.
  • GOOD — Gently used, minor wear consistent with age.
  • FAIR — Visible wear. ALL flaws specifically described and shown in at least one image.

Do not understate condition. GOCO may audit listings at any time. Systematic misgrading is grounds for removal.

4. Listing quality

Images: minimum one full front-facing image, one close-up condition image, and for FAIR items one image per disclosed flaw. Descriptions: must include brand, size, fibre content where known, and any alterations. Prices: set in accordance with vendor agreements. Rental windows: must accurately reflect the vendor's actual rack rental period.

5. Prohibited items

Must not be listed: counterfeit or replica goods; items infringing intellectual property rights; new items purchased for resale; used undergarments or swimwear without intact hygienic liner; items with undisclosed damage; items subject to ACCC recall; items prohibited under Australian law.

6. Response standards

  • Pick confirmation: within 60 minutes of Transaction notification.
  • Dispatch: within 24 hours of confirmation.
  • GOCOEDIT responses: within 48 hours of brief.
  • Dispute queries: within 24 hours of GOCO notification.

7. Enforcement

GOCO may: remove non-compliant listings without notice; issue written warnings; temporarily suspend storefronts; or terminate membership for serious or persistent breaches. GOCO provides written notice before suspension or termination except in cases of serious or fraudulent breach.

10. Termination

Either party may terminate on 30 days written notice. GOCO may terminate immediately for material breach. Outstanding payouts are remitted on the next weekly cycle. Data export available within 14 days of request.
